Most of what kills an early company was decided in the first year, usually by someone who did not know they were making a decision. An entity structured for convenience instead of the eventual raise. A cap table with a handshake on it. Contractor agreements that never assigned the IP. None of it hurts until the moment it matters, and by then it is expensive to unwind.

The second failure mode is quieter. A founder builds something that works, then cannot explain it to anyone who has not already seen it. The product is fine. The positioning is not, and the raise stalls on a story nobody can retell after the meeting.

    We work through what you have actually built, what is committed on paper, and where you intend to be in eighteen months. Formation documents, cap table, contracts, and the current story you tell investors and customers.

    A written assessment: the structural exposures that will surface in diligence, the gaps between the story and the numbers, and a prioritized list of what to fix before you raise rather than during.

Common Questions

We haven't raised yet. Is it too early to bring you in?
Usually it is the opposite. The structural decisions that cause the most damage — entity type, equity splits, IP assignment — are cheapest to get right before there is money and hardest to unwind after. Pre-raise is the least expensive time to have this conversation.
Do you take equity instead of fees?
No. We are advisors, not investors in the companies we advise, and we keep it that way so our read on a decision stays independent of our position in your cap table.
Will you introduce us to investors?
We will make an introduction when we believe the company is ready and the fit is real. We do not run a placement service and we do not broker introductions as a deliverable — an introduction we would not stand behind costs us more than it gains you.
Can you just review our documents without a full engagement?
Yes. A focused review of formation documents, a cap table, or a specific contract is a legitimate scope on its own. Ask for it directly.
Are you a law firm?
No, and we do not provide legal advice. We work on structure and strategy, and we tell you plainly when a question belongs with your attorney rather than with us.
